1. Acceptance of Terms

Welcome to VERDICT (“Service,” “Platform,” “we,” “us,” or “our”), operated by VERDICT.COM, a Delaware corporation (“Company”). By accessing or using our Service at verdict.com or any associated websites, applications, or services, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws and regulations.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE. Your continued use of the Service constitutes your ongoing acceptance of these Terms as they may be modified from time to time.

2. Eligibility and Geographic Restrictions

2.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2.2 Geographic Limitation

All information, including but not limited to case summaries, legal analysis, court records, and AI-generated content, is provided “as-is” and should not be construed as legal advice, legal opinion, or legal representation.

3.2 No Attorney-Client Relationship

NO ATTORNEY-CLIENT RELATIONSHIP IS CREATED by your use of the Service, communication with us, or any interaction with our platform. The information you provide to the Service is not protected by attorney-client privilege. You should not submit confidential or sensitive information expecting such protection.

3.3 Consult a Licensed Attorney

Legal matters are complex and highly fact-specific. The outcome of any legal matter depends on many factors, including facts and circumstances unique to your situation. YOU SHOULD CONSULT WITH A LICENSED ATTORNEY IN YOUR JURISDICTION before taking any action based on information obtained through the Service. 4. Artificial Intelligence Disclaimers

4.1 AI-Generated Content

The Service utilizes artificial intelligence and machine learning technologies, including large language models, to analyze legal information and generate content. AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR OMISSIONS. You acknowledge that:

  • AI systems can produce incorrect, incomplete, or misleading information
  • AI may “hallucinate” or generate plausible-sounding but false information
  • Case citations, legal holdings, and statutory references may be inaccurate
  • Legal analysis may not reflect current law or recent changes
  • AI cannot fully understand the nuances of your specific situation

4.2 Verification Required

YOU MUST INDEPENDENTLY VERIFY ALL INFORMATION provided by the Service before relying on it for any purpose. This includes, but is not limited to: case citations, statutory references, procedural requirements, deadlines, and legal analysis. Failure to verify information may result in adverse legal consequences for which we bear no responsibility.

4.3 Limitations of AI

AI systems have inherent limitations. They cannot: (a) understand the full context of your situation; (b) consider all relevant facts; (c) exercise legal judgment; (d) adapt to rapidly changing law in real-time; (e) replace the expertise of a licensed attorney; or (f) guarantee accuracy or completeness.

4.4 Training Data Limitations

Our AI models are trained on historical data and may not reflect the most recent legal developments, court decisions, statutory amendments, or regulatory changes. The knowledge cutoff date of underlying models may result in outdated information.

5. Description of Service

5.1 Service Features

VERDICT provides AI-powered legal research tools that may include: (a) searching public court records and case law; (b) analyzing legal questions and issues; (c) summarizing court opinions and legal documents; (d) identifying potentially relevant precedents; (e) providing general information about legal processes; and (f) facilitating connections with licensed attorneys.

5.2 Third-Party Data Sources

The Service incorporates data from third-party sources, including but not limited to CourtListener, PACER, and public court databases. We do not control the accuracy, completeness, or timeliness of third-party data. Third-party data is subject to its own terms of use and limitations.

5.3 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be unavailable due to: maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

5.4 What the Service is NOT Designed For

The Service is explicitly NOT designed or intended to be used for:

  • Providing legal advice or forming attorney-client relationships
  • Replacing consultation with a licensed attorney
  • Making final decisions about legal strategy or case outcomes
  • Calculating statutes of limitations or filing deadlines
  • Drafting legally binding documents without attorney review
  • Determining whether you have a viable legal claim
  • Emergency legal situations requiring immediate professional assistance

5.5 Confidential Information Warning

Do Not Submit Privileged Communications: Information you enter into the Service is NOT protected by attorney-client privilege. Do not submit confidential case strategies, privileged attorney-client communications, work product, settlement discussions, or sensitive details about pending litigation. If you are an attorney, do not input client confidences or information that could waive privilege.

6. User Accounts

6.1 Account Creation

To access certain features, you may need to create an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain and update your information; (c) maintain the security of your account credentials; (d) immediately notify us of any unauthorized access; and (e) accept responsibility for all activities under your account.

6.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized access to your account.

6.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, abusive behavior, or extended inactivity.

7. Acceptable Use Policy

7.1 Permitted Use

You may use the Service only for lawful purposes consistent with these Terms. The Service is intended for personal legal research and educational purposes.

7.2 Prohibited Activities

You agree NOT to:

  • Use the Service to engage in the unauthorized practice of law
  • Provide legal advice to others based on Service outputs without proper licensure
  • Misrepresent yourself as an attorney if you are not licensed
  • Submit false, misleading, or fraudulent information
  • Use the Service to harass, threaten, or harm others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Circumvent any security features or access restrictions
  • Use automated systems (bots, scrapers) without express permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any illegal purpose or to facilitate illegal activity
  • Violate any applicable laws, regulations, or third-party rights

7.3 Compliance with Laws

You are solely responsible for ensuring that your use of the Service complies with all applicable federal, state, and local laws and regulations, including but not limited to laws governing the unauthorized practice of law in your jurisdiction.

8. Intellectual Property

The Service, including its original content, features, functionality, design, and technology, is owned by VERDICT.COM and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks, logos, and service marks may not be used without our prior written consent.

8.2 Public Legal Information

Court opinions, statutes, regulations, and other government-produced legal documents are generally in the public domain. Our compilation, organization, analysis, and presentation of such materials constitutes our protectable intellectual property.

8.3 User Content

By submitting content to the Service (including queries, uploads, and feedback), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Service. You represent that you have the right to grant this license.

8.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become our property. We may use such feedback without restriction or compensation to you.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE RESULTS OF USING THE SERVICE
  • WARRANTIES THAT ANY ERRORS WILL BE CORRECTED

WE DO NOT WARRANT THAT THE LEGAL INFORMATION PROVIDED IS ACCURATE, COMPLETE, CURRENT, OR APPLICABLE TO YOUR SITUATION. You assume full responsibility for any decisions or actions taken based on information from the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERDICT.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • LEGAL MALPRACTICE OR PROFESSIONAL LIABILITY CLAIMS
  • CLAIMS ARISING FROM YOUR RELIANCE ON SERVICE CONTENT
  • DAMAGES RESULTING FROM MISSED DEADLINES, STATUTES OF LIMITATIONS, OR PROCEDURAL REQUIREMENTS
  • DAMAGES FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA
  • DAMAGES FROM THIRD-PARTY CONDUCT OR CONTENT

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

These limitations apply regardless of the legal theory, whether based on warranty, contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

12. Indemnification

You agree to indemnify, defend, and hold harmless VERDICT.COM and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights
  • Any content you submit to the Service
  • Any action taken based on information obtained from the Service
  • Any claim that your use of the Service caused damage to a third party

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact us at legal@verdict.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving your notice.

13.2 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY BINDING ARBITRATION administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and Mediation Procedures. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

13.5 Opt-Out Right

You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@verdict.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service with an updated “Last Updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

For material changes, we will make reasonable efforts to notify you via email or prominent notice on the Service. However, it is your responsibility to check these Terms regularly.

16. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account and data; and (c) provisions that by their nature should survive termination shall survive (including disclaimers, limitations of liability, indemnification, and dispute resolution).

You may terminate your account at any time by contacting us or using account settings if available. Termination does not relieve you of any obligations incurred prior to termination.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and VERDICT.COM regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of VERDICT.COM.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. These Terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

17.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly provided herein.

17.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.7 Notices

Notices to us must be sent to legal@verdict.com or by mail to: VERDICT.COM, PO BOX 9, WILMINGTON DE 19899. We may provide notices to you via email to your registered address or by posting on the Service.

17.8 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

17.9 Export Compliance

The Service is subject to United States export control laws and regulations. You may not access or use the Service if you are located in, or a national or resident of, any country subject to U.S. sanctions or embargoes, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions. You represent and warrant that you are not on any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals List maintained by the Office of Foreign Assets Control (OFAC).

17.10 Accessibility

VERDICT.COM is committed to making the Service accessible to all users, including those with disabilities. We strive to conform to Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards. If you experience accessibility barriers or need information in an alternative format, please contact us at legal@verdict.com and we will make reasonable efforts to accommodate your needs.

17.11 Beta Features

From time to time, we may offer beta or experimental features (“Beta Features”). Beta Features are provided “as-is” without any warranty and may be modified, suspended, or discontinued at any time without notice. Beta Features may contain bugs, errors, or inaccuracies and should not be relied upon for critical legal research. By using Beta Features, you acknowledge these additional risks and agree that we shall have no liability for any issues arising from their use.
